General Terms of Use

1.Introduction and acceptance

These General Terms of Use (“Terms”) govern access to and use of the LivePapo application, its websites, payment pages, social features, support services and other official interfaces that reference these Terms (together, the “Services”).

The Services are provided by Social Media Solutions Ltda., incorporated under the laws of Brazil, with address at Avenida Ephigenio Salles, 1299, Aleixo, Manaus/AM (“LivePapo”, “we” or “our”).

By creating an account, clicking “I accept” or using the Services, you agree to these Terms and to the documents incorporated by reference, including the Privacy Policy and the Community Guidelines. If you do not agree, do not use the Services.

Mandatory rights granted by the laws of your country, in particular consumer, privacy and data protection rights, are not excluded by these Terms.

2.Eligibility

You must:

• be at least 18 years old;
• have legal capacity to enter into a contract;
• not be barred from using the Services under applicable law;
• use the Services only in countries and territories where they are officially available;
• comply with these Terms and with applicable law.

You may not create an account for a minor, allow a minor to use your account or circumvent age verification mechanisms.

3.Your account

You agree to provide truthful, current information that belongs to you. You are responsible for keeping your credentials secure and for notifying us immediately of any unauthorized use.

It is prohibited to:

• sell, rent, transfer or share an account;
• create fake or duplicate accounts for fraud, sanction evasion or manipulation;
• use another person's identity, photograph or information without authorization;
• access a third party's account or interfere with security controls.

We may request verification of email, phone, age, identity, photograph, authenticity or payment where necessary for security, fraud prevention, legal compliance or access to certain features.

4.The Services

LivePapo is a social and entertainment platform for adults. Features may include profiles, people discovery, posts, messages, groups, live rooms, audio or video calls, translation, virtual items, subscriptions, rewards and other features made available from time to time.

Some features may:

• vary by country, device, operating system or application version;
• require payment, subscription, verification or eligibility criteria;
• be offered on an experimental basis;
• depend on stores, processors or other third-party services;
• be changed, suspended or discontinued in accordance with these Terms.

LivePapo does not guarantee that you will find a particular person, receive a reply, achieve popularity, obtain a relationship, income, audience or any specific outcome.

5.License to use the Services

For as long as you comply with these Terms, LivePapo grants you a personal, limited, revocable, non-exclusive, non-transferable and non-sublicensable license to access and use the Services for personal, permitted purposes.

This license does not authorize you to copy, modify, distribute, sell, commercially exploit, reverse engineer, circumvent protections or use the Services in an unauthorized manner, except where the law expressly permits it.

6.User content

You retain the rights to the content you create or submit (“User Content”). You are responsible for that content and you represent that you hold the necessary rights, licenses, authorizations and consents.

By submitting User Content, you grant LivePapo a non-exclusive, worldwide, royalty-free license, sublicensable to the providers required, limited to the purposes of hosting, storing, reproducing, technically adapting, transmitting, displaying, moderating, protecting, promoting and operating the Services.

This license ends when the content is removed from active systems, except for:

• content shared or saved by other users;
• backup copies retained for limited cycles;
• evidence preserved for security, investigation, appeal or legal obligation;
• uses necessary to establish, exercise or defend rights.

You authorize us to use your username, avatar and public content to display your activity within the Services. Use of content in identifiable external advertising will be subject to authorization where required by law.

7.Conduct and safety

You must treat other people with respect and comply with the Community Guidelines. It is prohibited to post, transmit, solicit, promote or engage in:

• exploitation, abuse, sexualization, grooming or trafficking of children and adolescents;
• prohibited nudity or sexual content, non-consensual intimate content or sextortion;
• harassment, stalking, threats, blackmail, hate, discrimination or violence;
• fraud, impersonation, catfishing, romance scams, spam or financial manipulation;
• disclosure of personal data, location or private communications without authorization;
• sale of sexual services, illegal activities, weapons, drugs or prohibited gambling;
• infringement of copyright, trademarks, likeness, voice, privacy or confidentiality;
• malware, intrusion, automated scraping, improper reverse engineering or security evasion;
• manipulation of rankings, gifts, transactions, rewards, reports or metrics;
• unauthorized purchase, sale or transfer of accounts, virtual items or credentials.

The Community Guidelines may further detail these rules and enforcement measures.

8.Interactions with other people

LivePapo does not fully control what users say or do and does not guarantee another person's identity, intent, truthfulness or compatibility. Exercise caution when sharing information, sending money, agreeing to meet or moving a conversation to another service.

Do not record, photograph, broadcast or redistribute a private conversation, image or voice without authorization and a legal basis. Use the blocking and reporting features when necessary.

LivePapo is not a party to personal agreements entered into between users and does not offer dating, marriage, escort, remittance, investment or sales brokerage services between users.

9.Reports, moderation and enforcement

You can report content or behavior and block users through the available features or at team@livepapo.com.

We may use automated and human review to detect risks and violations. Depending on severity, context, repeat conduct and applicable law, we may:

• remove or limit content;
• reduce distribution or interrupt a broadcast;
• restrict messages, purchases, monetization or other features;
• suspend or terminate accounts;
• preserve evidence and notify the competent authorities.

Where appropriate and permitted, we will state the reason for the measure and offer an appeal. We may act before notifying you in urgent situations, investigations, safety risks or legal obligations.

LivePapo assumes no general obligation to monitor all content, but may moderate the Services and respond to notices in accordance with applicable law.

10.Virtual items and digital features

The Services may allow the acquisition or receipt of coins, credits, gifts, benefits, subscriptions, levels, badges or other digital items (“Virtual Items”).

Unless expressly stated in specific rules:

• Virtual Items are limited licenses to use within LivePapo;
• they are not money, deposits, investments, securities, property or electronic currency;
• they may not be sold, transferred or traded outside the authorized features;
• they have no cash redemption value;
• they may expire or be changed in accordance with the offer, the law and rights already acquired.

Certain eligible users may take part in separate reward or monetization programs. Any conversion or payment will depend on criteria, verification, limits, taxes, fraud prevention and specific terms. Displaying a balance or an estimate does not guarantee payment until final approval.

11.Purchases, subscriptions and payments

Before a purchase, we will inform you of the item, price, currency, applicable taxes or charges, duration, renewal, restrictions and delivery method. Payments may be processed by app stores, financial institutions or independent processors, and are also subject to their terms.

You represent that you are authorized to use the payment method you choose. We may refuse, cancel or review transactions due to error, fraud, risk, sanctions, legal requirements or unavailability.

Subscriptions may renew automatically where this is disclosed before purchase. You may cancel renewal through the settings indicated, subject to the rules of the store or processor.

Refunds, cancellations, withdrawal rights and warranties will be handled in accordance with the offer, the Refund Policy and mandatory applicable law. No “no refund” clause removes rights that cannot be waived.

12.Adjustments, chargebacks and fraud

If a purchase is cancelled, refunded, disputed or found to be fraudulent, LivePapo may remove the corresponding Virtual Items and adjust balances, rewards or payments linked to the transaction.

Where the amount has already been used or paid out, we may offset future balances or take other permitted measures, with notice and an opportunity to dispute where applicable.

Deliberately false chargebacks, unauthorized use of a payment method, collusion, laundering, self-funding or purchases intended to improperly convert value may result in restrictions and reports to the authorities.

13.Intellectual property

LivePapo's software, trademark, name, logo, design, interfaces, official texts, databases and other materials belong to Social Media or to its licensors.

You may not use trademarks, copy elements, create derivative products, remove rights notices, register similar names or exploit LivePapo materials without authorization, except where permitted by law.

To submit an intellectual property notice, write to team@livepapo.com and include identification of the work, the content at issue, your contact details and the statements required by applicable law.

14.Third-party services

The Services may integrate social login, stores, payments, maps, translation, cloud, real-time communication and other third-party features. Those third parties may apply their own terms and policies.

LivePapo does not control external services and is not responsible for the independent acts of third parties, without prejudice to liabilities that cannot be excluded by law.

15.Availability and changes to the Services

We aim to keep the Services available, but interruptions may occur due to maintenance, security, updates, technical failure, external events or legal requirements.

We may add, modify, limit or discontinue features. Where a change materially affects a paid service, balance or acquired right, we will provide notice and a remedy consistent with applicable law.

You are responsible for keeping the application up to date and for device, internet and carrier costs.

16.Suspension and termination

You may stop using the Services and request account deletion at team@livepapo.com.

We may restrict, suspend or terminate access for breach of these Terms, safety risk, fraud, minority, legal obligation or discontinuation of the service. We will apply proportionate measures wherever possible.

After termination:

• your license to use the Services ends;
• content and data will be handled in accordance with the Privacy Policy;
• obligations, transactions, disputes and clauses that by their nature should survive will remain in force;
• the treatment of Virtual Items and eligible payments will follow the offer, the specific terms and the law.

17.Warranty disclaimers

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available”. We do not warrant uninterrupted operation, complete absence of errors, universal compatibility, unlimited preservation of content or any social, financial or personal outcome.

Nothing in this section excludes statutory warranties, safety duties, liability for inadequate information or other rights that cannot be waived.

18.Limitation of liability

To the maximum extent permitted by law, LivePapo and its affiliates will not be liable for indirect, incidental, special, punitive or consequential damages, or for loss of profits, data, reputation or opportunities arising from use of the Services.

Where a monetary limitation is permitted, LivePapo's total liability for matters related to the Services will not exceed the greater of: (a) the amount you paid to LivePapo in the 12 months preceding the event; or (b) [US$ 100 OR EQUIVALENT AMOUNT].

These limitations do not apply to willful misconduct, gross negligence, death or personal injury, breach of privacy rights, consumer obligations, product liability or any case that cannot be limited under applicable law.

19.User responsibility

To the extent permitted by law, you are responsible for losses caused by your unlawful conduct, breach of these Terms, unauthorized use or infringement of third-party rights.

If you use the Services on behalf of a company or for an authorized commercial purpose, you agree to defend and indemnify LivePapo against claims arising from that use, except where the damage results from LivePapo's own act. This obligation does not apply to consumers where prohibited.

20.Governing law and dispute resolution

These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules.

Before starting a formal dispute, we encourage you to contact team@livepapo.com to seek a resolution. Nothing prevents the use of consumer channels, authorities, urgent measures or other rights provided by law.

The courts of Brazil will have jurisdiction, except where mandatory law allows a consumer to bring a claim in their place of residence or in another competent forum.

These Terms do not impose mandatory arbitration or a class action waiver, unless a separate regional clause, valid and expressly accepted, provides otherwise.

21.Regional rules

21.1 Brazil

For Services offered to consumers in Brazil, the mandatory rights of Brazilian law apply, including clear information, customer service, correction of charges, liability for defects and the legally competent forum. No provision of these Terms limits rights under the Consumer Protection Code (Código de Defesa do Consumidor), internet legislation or the LGPD.

21.2 European Economic Area and United Kingdom

If you are a consumer in these regions, you remain protected by the mandatory rules of your country of residence. The choice of law and forum in Section 20 does not remove those protections or prevent access to the courts or competent bodies provided for by local law.

21.3 United States and other regions

Some states or countries do not allow certain warranty exclusions or liability limitations. In those cases, the corresponding clauses will apply only to the extent permitted. You retain all rights that cannot be waived.

22.Changes to these Terms

We may update these Terms to reflect legal, security, operational or product changes. We will indicate the new effective date and communicate material changes with reasonable advance notice. Where the law or the nature of the change requires it, we will ask for renewed acceptance. Changes do not retroactively remove rights already acquired.

23.General provisions

If a clause is held invalid, the remaining clauses will remain in force and that clause will be applied to the maximum extent permitted.

Failure to enforce an obligation is not a waiver. You may not transfer these Terms without authorization; LivePapo may transfer them in a reorganization or corporate transaction, subject to applicable rights.

These Terms, the Privacy Policy, the Community Guidelines, the Refund Policy and any specific terms accepted constitute the agreement applicable to use of the Services.

24.Language

These Terms may be made available in several languages. The official version is Portuguese. In the event of divergence, the official version will prevail, except where local law requires the interpretation most favorable to the consumer or the prevalence of the version presented at the time of contracting.
